TERMS OF SERVICE

Terms of Service

1. Agreement to Terms
By engaging with TiventraSolutions for software architecture and development services, you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you (the Client) and TiventraSolutions, registered at Nørregade 15, 1165 København K, Danmark, Danmark.

2. Scope of Services
TiventraSolutions provides custom software architecture, development, consulting, and related technical services. The specific scope, deliverables, timeline, and pricing for each engagement will be defined in a separate Project Agreement or Statement of Work (SOW) agreed upon by both parties.

3. Project Agreements
Each project engagement is governed by a Project Agreement that includes:

  • • Detailed scope of work and deliverables
  • • Project timeline and milestones
  • • Payment terms and schedule
  • • Acceptance criteria
  • • Intellectual property provisions

4. Payment Terms

  • • Source code and documentation will be transferred to the Client upon project completion and final payment
  • • Both parties agree to maintain confidentiality of proprietary information

6. Confidentiality
Both parties agree to keep confidential all proprietary information shared during the course of the engagement. This obligation survives the termination of the agreement for a period of five years.

7. Limitation of Liability
TiventraSolutions' total liability shall not exceed the total fees paid by the Client for the specific project giving rise to the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages.

8. Warranty
We warrant that our services will be performed in a professional and workmanlike manner. Any defects in deliverables will be remediated within 30 days of notification at no additional cost.

9. Termination

  • • Either party may terminate with 30 days written notice
  • • The Client shall pay for all work completed up to the termination date
  • • All delivered work and materials shall be transferred to the Client upon termination

10. Governing Law
These Terms of Service are governed by Danish law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark.
